This SERVICE AGREEMENT, hereinafter referred to as the "Agreement", is entered into this by and between:

Pacheco Digital Services, hereinafter referred to as "Agency"; -and-

hereinafter referred to as the "Client". Collective, the Agency and the Client are referred to as "Parties."

Client Information

The Parties agree to the following recitals:

Whereas, the Agency is in full legal capacity as a company specializing in the field of Social Media Strategy & funnel development;

Whereas, the Agency affirms that it has the required experience and ability to provide the Client with the Services;

Whereas, the Agency agrees to be so engaged and to provide the Client the Services, all subject to the terms and conditions contained herein;

WHEREAS, the parties desire to express in writing their mutual understanding and agreements with respect to this engagement; and,
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the parties hereto, intending to be legally bound, do hereby agree as follows:

Good Faith: The Parties agree to act in the utmost good faith in respect of your obligations towards each other in terms of the Agreement.

I. SCOPE OF WORK

The Agency is being recruited to assist in the following:

Social Media Strategy: 375 USD

2 onboarding meetings, Instagram 5 posts/week, engagement- 15 comments on other accounts each day the Agency posts, 3 stories a week, write SEO captions, monthly reporting and strategy call, hashtag research, monthly analytics, platform optimization.

-5 posts- No more than two still posts created on Canva. The rest will be short reels. The Agency will provide suggestions of videos and post ideas, the Client will provide videos and pictures.

-Onboarding Meeting 1: 60-90 minutes (to be done within one week of signing contract). 40 questions that will make it clear who the client's audience is, their brand story, lead magnet, etc

-Onboarding Meeting 2: Overview of total picture strategy and implementation (60-90 minutes)

All onboarding meetings need to be completed within two weeks of signing the contract. No work on the social media project can start before these are done. It will take 7 business days from the end of these meetings for the Agency to take over posting on social media. If these meetings are not completed within two weeks, the Agency will exit the contract and will not refund payment to compensate work already completed.

-The Agency will provide SEO captions, the Customer can suggest edits (maximum 2 rounds of edits).

-15-minute check-in call to discuss the next week's post once weekly on Friday (if Customer desires).

-Monthly strategy and analytics review: 30-60 minute meeting

• Add-ons: Lead magnet creation ($35-$50 per lead magnet) and backend website ($35/project).

Lead magnet: Under 10 pages created on Canva ($35); over 10 pages created on Canva ($50); Videos ($50); Quiz ($50).

Backend website project: Set up Calendly and funnel (will be completed within 10 business days upon commencement)

The Agency will provide all content to be reviewed by Wednesday 11:59PM for the next week which includes 5 posts, 5 captions, 5 stories.

The agency will not perform the following tasks:

Website Design

Engaging in sales through direct messaging

Closing sales

Contacting leads directly

Responding to comments on the Agency's posts

Engagement other than 15 accounts per day before posting

Attending meetings outside of office hours

Completing a project with less than 72 hours notice

Add fake accounts or use applications to increase follower accounts. All followers will have to come naturally.

Create a brand identity (logo, colors, fonts). All posts created by the Agency will use the brand identity provided.

II. FEES

For undertaking the engagement and for other good and valuable consideration, including but not limited to, the substantial benefit the Client will derive from the Agency’s services, the Client agrees to compensate the Agency the professional fees in USD payable in the following manner:

· Upon Commencement: $375/for 3 months for Social Media Management and $70 for lead magnet and website backend (calendly).

Any additional work carried out outside of the Scope of Work provided to client will be charged at an additional fee of $50/hr. The Agency shall notify the Client of such situations or charges before commencing work.

All prices quoted are in USD.

Invoice due date: Every month on the 6th (or whatever date the contract is signed which will be reflected in the timestamp).

Late payments or failure of payments will result in immediate cessation of all work carried out by the Agency. There will be a $5 fee for every day that payment is late. All work remains the sole right of the Agency until payment is made.

Commencement for the project to start with onboarding session or website backend project. By availing of the Agency’s payment plan, both parties agree to the terms of service.

The Client agrees to settle the Agency’s professional fee in US Dollars either through a Bank Transfer or the Agency’s Stripe account.

III. REFUND/ CANCELLATION STIPULATION

All payments shall be non-refundable and non-assessable.

The first onboarding session MUST take place within one week of signing the contract.

IV. NO GUARANTEES PROVIDED

The Client agrees that the Agency shall not be held liable for results outside of its control - such as the quality of leads or sales made by the Client’s team.

The Client agrees that the Agency shall not be held liable for not having a viral account.

The Client agrees that the Agency shall not be held liable for not gaining website traffic or sales.

The Client agress that the Agency can not determine the amount of views, profile views, engagements, and leads added to email list. The Agency will use the most up to date methods to get the Client's account seen and in front of the Client's audience and will test to ensure the most effective methods are used.

V. CLIENT RESPONSIBILITY

The Client agrees to do the following:

-Provide logins and email within three days of the project start date

-Attend onboarding calls and check-in meetings

-Provide any relevant information regarding the project within three days of the project start date

-Provide photos/videos (without which, the Agency is not able to complete the deliverable of creating content).

The client will review and edit content by Friday 11:59PM each week. Any edits after Friday will not be reflected on the following weeks posts. Maximum of 2 rounds of revision.

The client understands that the agency is not able to complete the deliverables without the cooperation of the client and the onboarding sessions. Failure to provide information in a timely manner will result in the agency terminating the contract and not refunding the payment. All work remains the sole property of the agency until the fees are paid in full at the beginning of every month.

Client understands that the Agency is not an employee, and that this will be a collaborative, professional relationship of equals where mutual professional respect, courtesy and consideration are expected. Due to the virtual nature of the relationship, Client understands the importance of communication, especially via email, and agrees to respond to questions, requests and communications from the Agency in a timely manner. Client understands that the Agency is a business with other clients to serve, and requires fair, realistic notice in order to attend to requests and projects. Poor planning or miscommunications on the part of the Client will not constitute an emergency for the Agency. Client understands that the Agency may require detailed clarification of projects in order to meet expectations and provide the best support and highest quality work.

If the Client would like the Agency to use a specific application, the Client is responsbile to pay the full price (ex., ManyChat).

The Client is responsible to use their own credit card information to test funnels.

VI. OFFICE HOURS & COMMUNICATION

Office hours are Monday through Friday 8:00 am to 5:00pm (PST). Email is to be the primary form of communication between Client and the Agency. Messaging/Calling on Facebook Messenger are okay for simple questions but all coordination should be done through email.

The Agency will respond within 48 hours during business hours.

VII. CONTRACT LENGTH AND TERMINATION

The contract length is 3 months. Services will continue after 3 months on a month-to-month basis until the Client gives adequate notice of cessation of services. The 3 month contract starts once the contract is signed. Payment must be made within 2 days of signing contract.

If the Client wants to end services provided by the agency after the 3-month contract, a 30-day notice must be given. Refunds will not be given if work is already completed.

The Agency will not disclose methods and techniques used when terminated.

VIII. NON-DISCLOSURE

Both parties mutually agree that certain confidential information may be exchanged during the course of this engagement. To ensure the protection of such information and in consideration of the agreement to exchange said information, the parties agree not to disclose the following.
a. Technical materials, models and relevant technical articles, technical reports owned by either party; b. Sales materials, including but not limited to all quality management methods, pricing methods, sales methods and customers’ materials;
c. All the intellectual property rights (including those exclusively owned by either party, whether owned now or developed in the future); and,
d. Any other information that either party claims as confidential.

The Customer agrees that the Agency may, from time to time, share testimonials and results achieved as a result of service provided for marketing purposes. The Customer can request that personal and brand information be omitted from case studies and testimonials.

IX. META POLICIES AND RULES:

Client understands that Instagram (Meta) is a 3rd Party that can disapprove posts and even close accounts at any time, for any reason.

Client understands that the Agency does not offer refunds if Meta decides to close the client’s account without notice or reason. The Agency will only use approved methods that are considered “white hat” and the Agency will not endorse or use any software, tools or methods that would be in violation of Meta’s Terms of Use

Client understands that the Agency will follow all Terms of Services written by Meta. The Agency will also use “Best Practices” as we understand them directly from Meta representatives and other high volume agencies. Client understands that the Agency will follow all Terms of Services written by Meta. The Agency strongly suggests that the client read all of Meta's Terms of use before the client executes this agreement with Pacheco Digital Services.

X. MISCELLANEOUS

The Client understands the Agency is not their employee and is a 1099 contractor. The Client can not dictate when, where, how the Agency does their work. The Client cannot determine the applications and methods the Agency uses. The Client is responsible for finding a time that works within the Agency's business hours. The Client must give adequate notice of a missed meeting.

Integration: This Agreement, along with any additional terms or policies incorporated herein by reference, represents the entire Agreement between the Client and Agency concerning Social Media Services.

Non transferability: The rights and obligations under this Agreement are personal to the Client. The Client may not assign or transfer any rights or obligations under this Agreement.

BY SIGNING BELOW, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO ALL OF THE AFOREMENTIONED TERMS, INCLUDING THOSE RELATED TO SERVICE FEES, STRICT NO REFUND POLICY, AND CONFIDENTIALITY.
